Details about the service
To launch a company in Kazakhstan by one or more participants, including cases with foreign participation. We help determine the structure and prepare registration; We separate banking and tax issues into separate stages.
01What decisions are needed before filing
- Determine the participants, their shares, director, name, legal address and types of activities. Check the restrictions for the selected activity and whether a license or notification is required.
- Choose an individual or standard charter, agree on the management procedure and the powers of the director. The decision of a single participant and the documents of several founders differ.
- Determine the category of business and capital: for small businesses the law allows a zero minimum capital; For other LLPs, the general rule applies, and certain regulated activities have special requirements.
02How legal assistance works
- We clarify the founders, residency status, activities, address and signing method, and prepare a list of documents and outstanding issues.
- We prepare agreed constituent decisions and draft documents, check the information for the application and the powers of the signatories.
- We support registration to the agreed extent. After registration, we record the following actions: bank verification, tax regime, accounting, employment documents and permits - as necessary.
03Primary package of documents
- Participants’ and director’s documents, IIN/BIN if available, contact details, proposed names, address, activities and ownership interests.
- For a foreign legal entity - a document from the trade register or an equivalent confirming its status; for a foreign individual - passport. Requirements for legalization, exemption and notarized translations are verified by law and international treaties.
- For a representative - a power of attorney with the necessary powers; for a foreign individual founder - verification of a document giving the right to register a commercial organization according to migration rules.
04Registration time is not the time to launch a business
- For legal entities - private businesses, except for joint-stock companies, the law provides for registration within one working day from the submission of an electronic application. Other methods and categories are considered according to separate rules.
- Preparation of foreign documents, translations, IIN and access to electronic signing may require additional time. It is impossible to promise complete readiness of a company in one day only on the basis of the state registration period.
- Legal fees, registration payments if applicable, notary services, translations, address and banking expenses are agreed separately. Registration alone does not guarantee a bank account or a particular tax regime.
05Features of foreign participation
- Company ownership, immigration grounds for establishing it, and the right to work as its director are separate matters. We check each before submission.
- For business immigrants, Article 40 establishes special obligations and restrictions, including a two-month period for statutory actions after entry; Applicability and exceptions are checked based on a person's status.
- Licensed activities cannot be started solely on the basis of LLP registration. Required permissions and notifications are checked separately.
